The Short Version

Flowstate is an AI-powered platform that helps service businesses manage leads, build websites, book appointments, send invoices, and more. You pay a subscription, we provide the service. Don't use it for illegal stuff. We're not liable if something goes wrong. Pretty standard.

1. What Flowstate Is

Flowstate is an AI-powered business management platform for service businesses. The platform includes lead capture and management, AI-generated responses and follow-ups, website building and hosting, appointment booking with calendar sync, job tracking, invoicing with online payment processing, SMS and email communications, business intelligence and analytics, and team collaboration with role-based permissions. We provide the tools; you provide the business expertise.

2. Your Account

You're responsible for:

Keeping your login credentials secure
All activity that happens under your account
Providing accurate business information
Keeping your payment method current

One account per business. Don't share accounts or resell access.

3. Acceptable Use

Use Flowstate for legitimate business purposes. Don't use it to:

Send spam or unsolicited messages
Harass or abuse anyone
Conduct illegal activities
Collect data without consent
Impersonate others or misrepresent your business
Attempt to hack, reverse engineer, or abuse our systems
Resell or redistribute the service

We reserve the right to suspend accounts that violate these terms.

4. AI-Generated Content

Flowstate uses AI to generate responses, website content, and business communications on your behalf. You're responsible for reviewing AI-generated content before it's sent or published. While we strive for accuracy, AI can make mistakes. You should not rely solely on AI for critical communications without review. The AI may not always perfectly represent your business — monitor and adjust settings as needed.

5. Payment Terms

Flowstate is a subscription service billed monthly or annually. By subscribing, you agree to:

Pay the current subscription fee for your selected billing period
Automatic renewal unless you cancel before the end of your billing period
Price changes with 30 days notice

If payment fails, we'll give you a 7-day grace period to update your payment method. Continued failure to pay will result in account suspension.

6. Cancellation and Refunds

You can cancel anytime from your account settings. Your access continues until the end of your current billing period. We don't offer refunds for partial billing periods, but if you're unhappy within your first 14 days, contact us and we'll make it right.

Domain purchases are non-refundable. When you purchase a domain through Flowstate, we register it on your behalf through a third-party registrar. Because domain registration is an immediate, irreversible transaction with the registrar, all domain purchases are final and non-refundable. You retain full ownership of any domain you purchase and may transfer it to another registrar after the ICANN-mandated 60-day transfer lock period.

7. SMS and Communications

Flowstate sends SMS and email messages on your behalf to your leads and customers. By using these features, you agree to:

Obtain proper consent from recipients before sending messages, as required by the Telephone Consumer Protection Act (TCPA) and applicable laws
Comply with all applicable messaging regulations including CAN-SPAM and state-level privacy laws
Not use the platform to send unsolicited bulk messages
Honor opt-out and unsubscribe requests promptly

You are solely responsible for ensuring compliance with messaging laws. Flowstate is not liable for any claims, fines, or damages arising from your failure to obtain proper consent.

8. Website Hosting and User Content

Flowstate hosts websites that you create using our website builder. You are solely responsible for all content published on your Flowstate-hosted website, including text, images, and any other materials. You represent that you have the right to publish all content on your website and that it does not infringe on any third party's rights.

We reserve the right to remove or disable access to any website content that violates these terms, infringes intellectual property rights, or violates applicable law.

9. DMCA and Copyright

If you believe content hosted on Flowstate infringes your copyright, you may submit a takedown notice to our designated agent at legal@useflowstate.app. Your notice must include:

Identification of the copyrighted work
Identification of the infringing material and its location on Flowstate
Your contact information
A statement of good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate
Your physical or electronic signature

We will respond to valid takedown notices and may remove or disable access to the allegedly infringing content. Counter-notices may be submitted following the same process.

10. Booking and Scheduling

Flowstate provides appointment booking and calendar synchronization features. While we strive to keep scheduling accurate, we are not liable for missed appointments, calendar sync errors, double-bookings, or scheduling conflicts. You are responsible for managing your availability and confirming appointments with your customers.

11. Payment Processing (Stripe Connect)

Flowstate facilitates payment processing between you and your customers through Stripe. By using payment features (invoice payments, booking deposits), you agree to Stripe's Terms of Service. Flowstate is not a party to transactions between you and your customers and is not liable for payment disputes, chargebacks, refund disputes, or payment processing errors.

12. Third-Party Services

Flowstate relies on third-party services including Stripe, Supabase, Anthropic, OpenAI, Twilio, Resend, Vercel, and others to operate. We are not responsible for outages, errors, or changes made by these providers. You agree that your use of Flowstate is subject to the terms and availability of these underlying services.

13. Service Availability

We aim for high availability but don't guarantee 100% uptime. We don't offer SLAs or uptime guarantees at this time. We'll do our best to communicate any planned downtime in advance.

14. Force Majeure

Flowstate is not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service failures, pandemics, or other force majeure events.

15. Your Data

You own your data. We store and process it to provide the service. You can export or delete your data at any time from your account settings. See our Privacy Policy for details on how we handle data.

16. Intellectual Property

Flowstate's software, branding, and documentation are ours. Your business content and data are yours. The AI-generated responses and website content created for your business are yours to use. Don't copy, modify, or redistribute our software.

17. Disclaimer of Warranties

FLOWSTATE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FLOWSTATE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSTATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THIS INCLUDES BUT IS NOT LIMITED TO: LOST LEADS, MISSED MESSAGES, AI ERRORS, SCHEDULING CONFLICTS, PAYMENT PROCESSING ISSUES, OR ANY OTHER BUSINESS LOSSES.

19. Indemnification

You agree to indemnify and hold harmless Flowstate, its officers, and affiliates against any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your content, content published on your hosted website, messages sent through the platform, or your violation of these terms or any applicable law.

20. Dispute Resolution

Before filing any formal legal action, you agree to first contact us at legal@useflowstate.app and attempt to resolve the dispute informally for at least 30 days.

If informal resolution fails, any dispute arising from these terms or your use of Flowstate shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Illinois. The arbitrator's decision shall be final and binding.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Either party may bring claims in small claims court as an alternative to arbitration, provided the claim falls within the court's jurisdiction.

21. Changes to Terms

We may update these terms. Significant changes will be communicated via email with at least 30 days notice. Continued use after changes means you accept them.

22. Termination

Either party can terminate at any time. You can cancel your subscription from your account settings. We can suspend or terminate accounts that violate these terms. Upon termination, your access continues until the end of your current billing period. We'll retain your data for 30 days in case you need to export it, then delete it.

23. Governing Law

These terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles.
